Part B, our Privacy Policy for Tutoring Clients, and its Children's Privacy Notice are on their own pages.
Part A: Client Terms and Conditions
A.1 Agreement and who may accept it
These Client Terms and Conditions (Part A) and our Privacy Policy for Tutoring Clients (Part B, published at us.ututorsacademy.com/client-privacy, with its Children’s Privacy Notice at us.ututorsacademy.com/children-privacy) together make up the “Client Terms”, a binding agreement between U Tutors LLC, doing business as U Tutors Academy (“U Tutors”, “we”, “us”), and you, the parent, legal guardian or adult student who enrolls (“you” or the “Client”). By ticking the acceptance box at checkout or paying for Services, you agree to these Client Terms for yourself and for each Student on your account.
You must be at least eighteen (18) years old and able to contract. Each person who receives Services under your account is a “Student”. If a Student is under eighteen (18), you represent that you are the Student’s parent or legal guardian with authority to enroll the Student and to consent on the Student’s behalf. An adult student who enrolls for themselves is both the Client and the Student. If a parent pays for a Student who is eighteen (18) or older, the adult Student must also sign the Client Services Agreement.
The “Client Services Agreement” is the agreement you sign before the free consultation; the “Portal Terms” are the terms you accept when opening a TutorCruncher portal account; and the “Website Terms” are published at us.ututorsacademy.com/terms.
An account opened with false details, by a minor posing as an adult, or with a payment card you may not use may be closed for cause.
A.2 Electronic records and signatures
You consent to receive these Client Terms and all agreements, notices, consent confirmations, invoices, receipts and disclosures for your account electronically, by email to the address on your account and through the portal. Ticking a box or typing your name is your electronic signature under the Uniform Electronic Transaction Act (Fla. Stat. § 668.50) and the federal E-SIGN Act, and has the same effect as a handwritten signature.
To receive and keep these records you need a device with internet access, a current web browser, software that opens PDF files, and an email account. You can update your email address in the portal or by writing to us.
You may request a paper copy of any record at no charge. You may withdraw this consent by writing to us; if you do, we may be unable to continue the Services, and the withdrawal does not affect records already delivered.
A.3 The Services
The “Services” are one-on-one academic tutoring and test preparation (including for the SAT, PSAT, ACT, ISEE, AP exams, GRE, GMAT, MCAT, DAT, OAT and TOEFL), in person at our Coral Gables center and, where agreed in writing, online, including the free consultation. Camps are offered under separate registration terms and are not part of the Services.
Instructors are selected and assigned by U Tutors and may be employees or independent contractors; we may change the assigned instructor and will tell you when we do.
The Services are academic and supplementary. U Tutors is not a licensed child care facility and provides no child care, custody, transportation or supervision outside the scheduled session, and no medical, psychological, counseling or diagnostic services. We do not use companion or emotional-support chatbots with Students and have no duty to monitor a Student’s emotional wellbeing, other than reporting suspected abuse, abandonment or neglect as Fla. Stat. § 39.201 requires.
A.4 Not affiliated with any testing organization
SAT®, PSAT® and AP® are trademarks of the College Board. ACT® is a registered trademark of ACT Education Corp. ISEE® is a registered trademark of the Educational Records Bureau. GRE® and TOEFL® are registered trademarks of ETS. GMAT® is a registered trademark of the Graduate Management Admission Council. MCAT® is a registered trademark of the Association of American Medical Colleges. DAT® is a trademark of the American Dental Association. OAT® is a trademark of the Association of Schools and Colleges of Optometry. The University of Miami name belongs to the University of Miami. Our center is in the Plumer Building on the University of Miami’s Coral Gables campus, but U Tutors Academy is an independent business and is not part of, affiliated with or endorsed by the University of Miami. None of these organizations is affiliated with, sponsors, endorses or has reviewed U Tutors or its tutoring, practice questions, handbooks, estimated score ranges or materials. Our practice questions are written by or for U Tutors and are not official test questions; our practice results and estimated ranges are our own estimates for study purposes and are not official scores or predictions.
A.5 Fees, packages and payment
Tutoring is billed by the hour at the rate quoted to you in writing after the consultation (starting at $85.00 per hour). Hour packages (10 hours at 10% off, 15 hours at 15% off, 20 hours at 20% off the quoted rate) are paid in full at checkout. Hourly (non-package) sessions are invoiced after they occur and are due within fourteen (14) days of the invoice date.
Rates may change on fifteen (15) days’ written notice. Hours already paid for are not affected.
Before the first paid session every Client saves a credit or debit card in the portal, including Clients paying with scholarship funds. Payments are processed by Stripe, Inc.; we do not see or store your full card number. You authorize U Tutors to charge the saved card for packages you buy, hourly sessions, late-cancellation and no-show charges under Section A.6, private-pay balances under Section A.8, and other amounts you owe under these Client Terms or the Client Services Agreement, each itemized on a receipt or invoice. You may replace the saved card at any time in the portal (Account → Billing); removing it does not cancel amounts already owed.
A check, debit card payment or electronic funds transfer that is returned or dishonored incurs the service charge allowed by Fla. Stat. § 68.065 ($25 if the payment is $50 or less; $30 if it is more than $50 and not more than $300; $40 if it is more than $300; or 5% of the payment, whichever is greater).
You agree to contact us before disputing a charge with your bank. If you do dispute one, we may send the bank our record of your acceptance of these Client Terms and the session history. This does not limit any right you have under law to dispute a charge.
Instructor travel and preparation time are not billed.
A.6 Scheduling, cancellation and no-shows
Sessions are scheduled with the instructor through the TutorCruncher portal. To cancel or reschedule without charge, give written notice (portal, email or text to 786-730-6332) at least twenty-four (24) hours before the session starts.
A session cancelled with less than 24 hours’ notice, or missed, is charged at the full session rate, or the session’s hours are deducted from your package. You agree that this is a reasonable estimate of our loss (the instructor’s reserved time and the lost chance to book another student), not a penalty. If we fill the slot with another student, the charge is reversed within fourteen (14) days: the package hours are restored (with their original expiry) or the hourly charge is refunded to the original payment method.
If U Tutors or the instructor cancels, no charge applies and the session is rescheduled at a mutually convenient time.
Sessions start and end at the scheduled time; a late arrival shortens the session.
A.7 Refunds, expiry and your right to cancel
Right to cancel. U Tutors gives you the right to cancel without penalty within three (3) business days after the later of your first acceptance of these Client Terms at checkout or your first signature on the Client Services Agreement. We refund all payments within thirty (30) days after receiving your notice, except the hourly rate for any paid session delivered at your request before the notice; amounts paid with scholarship funds are returned to the scholarship account or as the SFO directs. To cancel, email ututors@ututorsacademy.com from your account email, or deliver or mail a signed, dated notice to U Tutors LLC, 5915 Ponce de Leon Blvd, Suite 18, Coral Gables, FL 33146.
Package refunds within 30 days. A package may be refunded within thirty (30) days of purchase. The refund equals the amount paid for the package minus the hours already used, with used hours valued at the undiscounted hourly rate in effect when the package was bought. Example: a 10-hour package at a $100 rate costs $900; after 3 hours, the refund is $900 − (3 × $100) = $600. If the result is zero or less, no refund is due and nothing more is charged. Refunds are paid within thirty (30) days of the written request, to the original payment method. After thirty (30) days from purchase, a package is not refundable except as stated in this Section or as the law requires.
Expiry. Unused package hours expire twelve (12) months after purchase.
Hourly sessions are not refundable once delivered.
Termination by U Tutors. If U Tutors ends the relationship for its own reasons, unused package hours are refunded pro rata at the discounted package rate within thirty (30) days. No refund is owed if we end it for cause: non-payment; an academic-integrity violation or a request for one; harassment, threats, discrimination, damage to property or other abusive or unsafe conduct by the Client or Student; false enrollment details or an unauthorized payment method; or a breach of these Client Terms or the Client Services Agreement.
Medical inability or discontinued service. If the Student becomes physically unable to continue on a doctor’s written order, or U Tutors stops offering the contracted service, unused package hours are refunded pro rata at the discounted package rate within thirty (30) days.
Referral credit. A $150 credit is applied to the referring Client’s account after the referred family’s first paid session. It can be used only for tutoring sessions at the center, has no cash value, is not refundable, and is reversed if the referred family’s first paid session is refunded. Referral credits are not offered to Clients whose sessions are paid in whole or part with scholarship funds (Section A.8).
Refunds of amounts paid with scholarship funds are handled under Section A.8.
A.8 Step Up For Students and other scholarship funds
If you pay with a Florida scholarship account administered by a Scholarship Funding Organization (“SFO”) such as Step Up For Students through its Education Market Assistant (“EMA”):
Scholarship-funded sessions are taught only by instructors whose credential qualifies for the subject taught under Fla. Stat. § 1002.394 or § 1002.395 or, for a New Worlds Scholarship Account, § 1002.411, and who are listed with U Tutors in EMA. You authorize U Tutors to invoice the SFO through EMA for those sessions. U Tutors bills scholarship funds only for sessions already delivered: it invoices EMA after each session, naming the instructor, date and hours.
If you plan to pay U Tutors yourself and then ask the SFO to reimburse you, you must tell us in writing before booking. Those sessions are then handled as scholarship-funded sessions under this Section, except that you pay U Tutors, and our receipts show what you paid and the sessions delivered (instructor, date and hours). Whether and when the SFO reimburses you is between you and the SFO, and you remain responsible for paying U Tutors.
Packages, deposits, sessions with a non-qualifying instructor, and late-cancellation and no-show charges are never invoiced to a scholarship account; they are private-pay charges. Scholarship-funded sessions are billed at the quoted hourly rate, without package discounts.
Switching to scholarship funds. If you with unused package hours starts paying with scholarship funds, the remaining package hours stay private-pay at the package rate and are used before or alongside scholarship-funded sessions as you direct, until they are used or expire. Package hours are never transferred to, credited to or invoiced to a scholarship account, and no package refund is made because scholarship funding began.
You must log in to EMA and approve each valid invoice within seven (7) days of submission. Timely approval is a material obligation. If an invoice is not approved within seven days, is denied or reversed, or exceeds the scholarship balance, the amount becomes your private-pay responsibility at the rate that applies to that session, and you authorize us to charge the card on file.
When we accept an SFO payment as full payment for a session, we will not bill you the difference between our rate and the SFO-authorized rate. Separately contracted private services are billed to you.
U Tutors never pays, rebates or credits scholarship funds to you. Any refund or credit of an amount paid with scholarship funds, including an amount you paid and the SFO reimbursed, is returned to Step Up For Students for deposit into the Student’s scholarship account (or as the SFO directs if the account is closed), and a duplicate SFO payment is returned to the SFO.
Referral credits, promotional credits and gifts are not offered to Clients whose sessions are paid in whole or part with scholarship funds, and the free consultation is never invoiced to a scholarship account.
U Tutors will never ask for or use your EMA username or password. You remain responsible for following your SFO’s rules.
A.9 Student conduct, safety and online sessions
The Student will attend on time, bring assigned materials, complete assigned practice, and treat staff and other students with respect. You will tell us in writing about learning differences, accommodations, allergies, medications or medical conditions that affect sessions, and keep emergency contacts current.
Instructors tutor, explain and coach. They will not complete assignments, write essays, take exams, log in to a school platform as the Student, or provide answers for the Student to submit as their own, and you and the Student will not ask them to. If asked to, U Tutors may end the engagement for cause, without refund.
For Students under eighteen (18), arrival, waiting and departure arrangements are set in the Pickup Authorization (Client Services Agreement Section 9). U Tutors does not supervise Students before or after the scheduled session and does not charge for waiting time. A Student under twelve (12) may be at the center without a parent on the premises only for the scheduled session, under an arrangement U Tutors has approved in writing.
For online sessions, you provide a working device, camera, microphone and internet connection, and you keep the session link private.
U Tutors does not video-record, screen-record or capture online sessions. An online session is audio-recorded only under the same opt-in and rules as a session at the center.
If, during the engagement or within twelve (12) months after it ends, you privately engage an instructor you met through U Tutors, a placement fee applies (Client Services Agreement Section 7).
A.10 Cameras and recording
The center’s security cameras record video only, with no audio, at all times, in common areas and study cubicles, for the security of the premises. Posted signs state that a video surveillance system has been installed for the purpose of security for the premises. No camera is placed in a restroom or anywhere a person may change clothes. Security video is viewed only by U Tutors management, to look into a safety incident or complaint or when the law requires; it is never used in marketing and is kept for ninety (90) days, longer only if an incident is flagged for review.
Audio recording of a tutoring session happens only if you opt in by signing the Audio Recording Consent (Client Services Agreement Section 13), with the prior consent of the Client (and of an adult Student personally), the instructor and, at the start of each session, the Student, and, for a Student under 13, only after the parent’s consent is verified under Section B.8 of the Privacy Policy for Tutoring Clients. Audio recordings exist so the parent can hear how tutoring is being done. They are shared only with the Client and the instructor; U Tutors staff access a recording only to deliver or delete it or to investigate a complaint, and do not use recordings to evaluate instructors. They are not transcribed or analyzed by software or artificial-intelligence tools, are never used in marketing, and are deleted sixty (60) days after the session, or sooner on request, unless needed to investigate a complaint or legal claim, in which case they are kept until it is resolved.
A.11 No guarantee of results
We do not promise any grade, score, admission, scholarship, accommodation or other result. Practice results and estimated score ranges are study tools only.
A.12 Our content
Handbooks, practice questions, explanations, lesson notes, the instructor’s portions of tablet notes, and other materials we provide are owned by U Tutors or its licensors and are licensed to the Student for personal study only. Do not copy, share, publish, sell or use them to train or build any product or AI model. Notes and work the Student writes are the Student’s own; U Tutors may keep a copy as part of its records under Part B.
A.13 Disclaimer and limitation of liability
To the extent the law allows, the Services are provided without warranties of any kind beyond those expressly stated in these Client Terms. U Tutors is not liable for indirect, incidental, special, consequential or punitive damages (including a denied admission, a lost scholarship, the cost of other tutoring, or lost data). Our total liability for all claims arising from the Services is limited to the greater of the fees paid to us in the twelve (12) months before the claim arose or $100. The exclusion and the limit in this Section do not apply to any claim arising from a minor Student’s injury, death or property damage, whoever brings it, or to liability for gross negligence, intentional misconduct or anything else that cannot be limited under Florida law. Releases of liability for injury are in the Client Services Agreement.
A.14 Indemnity
To the extent the law allows, you will indemnify, defend and hold harmless the Released Parties (U Tutors and its owners, managers, employees, instructors, independent contractors, agents and volunteers) against third-party claims, losses and reasonable costs (including attorney’s fees) arising from the negligent or intentional acts or omissions of you or the Student, an untrue statement that you are the Student’s parent or legal guardian, or misuse of our materials through your account. This indemnity does not apply to any claim by or on behalf of the Student, or to claims arising from the Released Parties’ own negligence, gross negligence or intentional misconduct.
A.15 Disputes: informal resolution, arbitration, class-action waiver
Before starting arbitration or a small-claims case, either side sends the other a written notice describing the dispute (to U Tutors at 5915 Ponce de Leon Blvd, Suite 18, Coral Gables, FL 33146 or ututors@ututorsacademy.com; to you at your account email), and both try in good faith to resolve it within thirty (30) days.
If it is not resolved, any dispute arising out of or relating to these Client Terms, the Client Services Agreement, the Portal Terms, the Services, billing, or calls, texts or emails from U Tutors is decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules and the Federal Arbitration Act, in Miami-Dade County, Florida, except that (a) either side may bring an individual claim in small-claims court; (b) U Tutors may ask a court to stop misuse of its materials; and (c) the arbitration agreement and the class, collective and representative-action waiver in this Section do not apply to a sexual harassment or sexual assault dispute that the person bringing it elects to bring in court under 9 U.S.C. §§ 401–402.
You and U Tutors may bring claims only individually, not as a plaintiff or class member in any class, collective or representative proceeding. If a claim goes to court instead of arbitration, both sides waive a jury trial to the extent the law allows.
The prevailing party in any arbitration or court case allowed by this Section may recover reasonable attorney’s fees and costs from the other side.
These Client Terms are governed by the laws of Florida and the Federal Arbitration Act. Any court case allowed by this Section is heard in Miami-Dade County, Florida, and each side consents to personal jurisdiction there.
A.16 Changes, termination and general terms
We may update these Client Terms; the version and date are shown at the top and at checkout. Material changes to fees, cancellation, refunds, liability or data practices are emailed to you at least fifteen (15) days before they apply. A change does not apply to hours already paid for or to a dispute that arose before the change took effect. If you do not accept a material change, you may end the engagement before it takes effect and receive a pro-rata refund of unused package hours at the discounted package rate. A change to how we collect, use or share a child’s personal information requires your renewed consent before it applies to your child.
Either side may end the tutoring relationship on written notice. Refunds on termination are governed by Section A.7.
U Tutors is not in default for failures caused by events beyond its reasonable control (hurricanes, storms, flooding, utility or internet outages, cyber-attacks, government orders, or outages of TutorCruncher, Stripe, EMA or cloud hosting); affected in-person sessions are moved online or rescheduled without penalty.
If a part of these Client Terms is unenforceable, it is limited to the minimum extent necessary and the rest stays in force. Our not enforcing a term once does not waive it later. These Client Terms, the Client Services Agreement, the Portal Terms and the Website Terms are the entire agreement between us about the Services, and neither side relies on any statement not written in them. If these Client Terms and the signed Client Services Agreement differ, the Client Services Agreement controls. These terms are written in English. Any translation is provided for convenience only; if a translation and the English text differ, the English text controls.
Sections A.4 through A.8, A.10 (as to existing recordings), A.12 through A.16 and Part B survive the end of your account.
